The terms and conditions for using Project Lyra

These Terms of Service constitute a legally binding agreement between you ("Customer", "you") and Project Lyra, Inc. ("Project Lyra", "we", "us"). By accessing or using the Quantum Bridge Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
Coming Soon
Project Lyra is currently in pre-launch. The Quantum Bridge Platform is not yet generally available. These Terms will take full effect for each Customer upon launch and upon that Customer's first use of the Service. Until then, by joining our waitlist or browsing projectlyra.io, you agree to the limited pre-launch provisions of these Terms (in particular, Sections 1, 3, 7, 12, 13, 14, 16, and 17) and to our Privacy Policy.
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Project Lyra Quantum Bridge Platform and all related services, software, APIs, SDKs, websites, waitlist, and documentation (collectively, the "Service"). By creating an account, joining the waitlist, clicking "I agree", or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, the terms "you" and "Customer" refer to that entity.
2. Description of Service
Project Lyra operates a B2B Quantum Bridge Platform that connects classical computing infrastructure to heterogeneous quantum processing units (QPUs) across multiple providers. The Platform is currently in pre-launch; the features described below will become available when the Service launches to waitlist members and, subsequently, to the general public. The Service includes, without limitation:
- Intelligent Workload Routing — automated dispatch of quantum jobs to the optimal backend based on circuit characteristics, availability, latency, and cost.
- Algorithm-as-a-Service (AaaS) — a curated marketplace of production-grade quantum algorithms, including variational solvers, optimization routines, and quantum machine learning primitives.
- Data Pipelines — managed ingestion, transformation, pre-processing, and post-processing pipelines bridging classical data sources and quantum workloads.
- Unified Backend Access — a single control plane spanning Origin Pilot (East), Amazon Braket (West), and classical high-performance simulators.
- Developer Tooling — SDKs, CLIs, web consoles, telemetry, and observability for hybrid quantum-classical workflows.
The Service is provided on a subscription basis and may evolve over time. We reserve the right to modify, suspend, or discontinue any feature of the Service, provided that material changes to core functionality will be communicated in advance.
3. Eligibility
To use the Service, you must:
- Be at least eighteen (18) years of age and capable of forming a legally binding contract.
- Be acting on behalf of a business, research institution, government entity, or other legitimate organization. The Service is intended for commercial, research, and enterprise use, and is not designed for personal or consumer use.
- Not be barred from receiving the Service under the laws of your jurisdiction or any applicable export control, sanctions, or embargo regulations, including those administered by the U.S. Department of Commerce, the U.S. Department of the Treasury, or the European Union.
- Not be a competitor of Project Lyra accessing the Service for benchmarking, cloning, or other competitive purposes without our express written consent.
4. Account Registration
To access most features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information, including a valid business email address.
- Maintain and promptly update your account information to keep it accurate and complete.
- Maintain the security and confidentiality of your password, API keys, and access tokens, and accept full responsibility for all activities that occur under your account.
- Notify us immediately at security@projectlyra.io of any unauthorized use of your account or credentials.
- Use multi-factor authentication where offered, particularly for accounts with billing or administrative privileges.
Each individual user must have their own account. Sharing credentials across users is prohibited. Organizations may provision multiple seats under a workspace; each seat must correspond to a single natural person.
5. Subscription Tiers and Pricing
Project Lyra will offer three subscription tiers at launch. Features, limits, and pricing for each tier are summarized below and may be updated from time to time in our official pricing documentation. No fees are charged during the pre-launch waitlist phase.
Free Tier
- Access to local classical simulators only (no cloud QPU access).
- Up to five (5) algorithms from the AaaS marketplace catalog.
- Community support via public forums and documentation.
- Rate-limited API access and capped monthly job throughput.
- Intended for evaluation, education, and early experimentation.
Pro Tier — $499 / month
- Full cloud QPU access through Amazon Braket and Origin Pilot (subject to provider availability).
- Unlocked access to 50+ algorithms in the AaaS marketplace.
- Priority email support with guaranteed response windows during business hours.
- Expanded API rate limits and job throughput.
- Workload routing optimization, cost estimation, and telemetry dashboards.
Enterprise Tier — Custom Pricing
- Dedicated QPU capacity and reserved time slots on partner backends.
- Contractual Service Level Agreement (SLA) covering uptime and support response.
- Single sign-on (SSO), advanced audit logging, and role-based access control.
- Dedicated solutions architect and onboarding engineering support.
- Custom procurement, invoicing, and data residency options.
Prices are stated in U.S. dollars (USD) and exclude applicable taxes, duties, or levies, which are your responsibility. We reserve the right to change pricing for any tier upon thirty (30) days' prior notice. Price changes will not apply retroactively to the current paid billing period.
6. Quantum Backend Access
Third-Party Backends
Project Lyra acts as a bridge and orchestration layer. Execution of quantum workloads occurs on third-party quantum hardware operated by independent providers. Your use of these backends is subject to the respective provider's terms, and Project Lyra makes no warranty regarding their availability or behavior.
By using QPU-backed features of the Service, you acknowledge and agree that:
- Amazon Braket — Access to QPUs made available via Amazon Braket is governed by the AWS Service Terms and the AWS Customer Agreement. By submitting a job routed to Braket, you agree to comply with those terms.
- Origin Pilot — Access to QPUs operated by Origin Quantum Computing Technology Co., Ltd. ("Origin Quantum") and exposed via the Origin Pilot platform is governed by Origin Quantum's applicable terms of service and acceptable use policies.
- Shot Costs — You are responsible for the underlying cost of quantum shots, QPU time, and ancillary compute consumed beyond the allowances included in your subscription tier. Overage usage will be billed as described in Section 10.
- Availability — Quantum hardware is an emerging technology. Project Lyra cannot and does not guarantee the availability, calibration quality, queue depth, or fidelity of any particular backend at any particular time. The Service may automatically route or delay workloads to maintain reliability.
- Export and Jurisdictional Controls — You are solely responsible for ensuring that your use of cross-border quantum backends complies with applicable export control, data localization, and national security laws in your jurisdiction.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not, and will not permit any third party to:
- Cryptocurrency Mining — Use the Service, classical or quantum, to mine cryptocurrencies, stake tokens, or perform similar proof-of-work workloads.
- Cryptographic Attacks — Use the Service to attempt to break, crack, factor, or otherwise compromise cryptographic systems, keys, or protocols that you do not own or are not expressly authorized to test, including but not limited to Shor's algorithm attacks on third-party RSA/ECC keys.
- Reverse Engineering — Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, routing logic, or internal architecture of the Service, except to the extent such restriction is prohibited by applicable law.
- Unauthorized Resale — Resell, sublicense, redistribute, or relicense algorithms obtained from the AaaS marketplace except under an explicit redistribution license granted in writing.
- Harmful Content — Transmit malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to systems or data.
- Abuse and Circumvention — Attempt to bypass quotas, rate limits, authentication mechanisms, or other technical measures of the Service.
- Prohibited Applications — Use the Service to develop weapons of mass destruction, facilitate human rights abuses, or violate applicable laws in any jurisdiction.
- Benchmarking for Competitors — Use the Service to publish performance benchmarks intended primarily to promote competing products without our prior written consent.
8. Algorithm Marketplace Terms
The AaaS marketplace allows you to deploy, run, and (for eligible publishers) distribute quantum algorithms. The following rules apply:
- First-Party Algorithms — Algorithms published by Project Lyra are licensed to you under the terms of your active subscription. You may execute them against your data for internal business purposes. You do not acquire any ownership interest in such algorithms.
- Third-Party Algorithms — Algorithms published by third-party vendors are licensed to you under the license terms specified on their marketplace listing. Project Lyra is not a party to those licenses and acts solely as a facilitator.
- Your Submissions — If you publish an algorithm to the marketplace, you retain ownership of your intellectual property, but you grant Project Lyra a worldwide, non-exclusive, royalty-free license to host, display, execute, and distribute the algorithm as necessary to provide the Service.
- Results and Derivatives — You own the measurement results, output data, and derivative artifacts produced by running an algorithm against your own inputs, subject to any restrictions in the algorithm's license.
- Revenue Share — Publishers participating in the paid marketplace are subject to a separate Publisher Agreement governing revenue share, payouts, and support obligations.
9. Data and Content
You retain all right, title, and interest in and to the data, circuits, code, and other content you submit to the Service ("Customer Data"). You grant Project Lyra a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, process, compile, and display Customer Data solely to the extent necessary to:
- Provide, maintain, and improve the Service.
- Route and execute your workloads on the selected backends.
- Generate aggregated, anonymized performance and reliability analytics.
- Comply with applicable law or valid legal process.
Project Lyra will not access, view, or use the content of your quantum circuits or job payloads for any purpose other than providing the Service, except as required for security investigations, abuse prevention, or as otherwise permitted under our Privacy Policy. You are responsible for the lawfulness of Customer Data and for obtaining any necessary rights, consents, or authorizations prior to submission.
10. Billing and Payment
- Automatic Billing — Paid subscriptions are billed automatically each month (or each annual period, if applicable) to the payment method on file, beginning on the date you first subscribe and recurring on that anniversary date.
- QPU Usage Charges — Usage that exceeds the allowances included in your tier is billed at the underlying provider cost plus a ten percent (10%) Project Lyra platform fee. You will receive real-time telemetry and budget alerts where available.
- Taxes — You are responsible for all taxes and duties associated with your purchases, excluding taxes based on Project Lyra's net income.
- Refunds — Subscription fees are non-refundable except where expressly required by law or where we, at our sole discretion, issue service credits in connection with a qualifying service outage covered by your SLA (if any).
- Late Payment — If an invoice or automatic charge fails, we will notify you and attempt to retry the charge. Accounts with balances overdue by more than seven (7) days may be suspended without further notice, and we may withhold access to stored artifacts until the account is brought current.
- Disputes — You must notify us in writing of any billing dispute within thirty (30) days of the invoice date. Failure to do so waives your right to dispute the charge.
11. Cancellation and Termination
You may cancel your subscription at any time from the billing section of your account dashboard. Cancellation takes effect at the end of the current paid billing period, and you will retain access to paid features until that date. No pro-rated refunds will be issued for partial periods.
Project Lyra may suspend or terminate your access to the Service, with or without notice, if:
- You materially breach these Terms or our Acceptable Use policy.
- Your account poses a security risk, is involved in abuse, or is subject to fraudulent activity.
- We are required to do so by law, court order, or governmental directive.
- Continued provision of the Service to you is no longer commercially viable.
Data Deletion. Following termination or cancellation, Customer Data associated with your account will be retained for thirty (30) days, during which you may request an export. After thirty (30) days, Customer Data will be permanently deleted from active systems and purged from backups in accordance with our data retention schedule, except where retention is required by law.
12. Intellectual Property
The Service, including all software, source code, interfaces, routing logic, machine learning models, documentation, trademarks, logos, and the "Project Lyra" and "Quantum Bridge" names, is the exclusive property of Project Lyra, Inc. and its licensors, and is protected by copyright, trademark, trade secret, and other intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during the subscription period, solely for your internal business purposes and in accordance with these Terms. No other rights are granted, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROJECT LYRA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, PROJECT LYRA MAKES NO REPRESENTATION OR WARRANTY THAT:
- Any quantum algorithm, backend, or workload will achieve "quantum advantage" or outperform classical alternatives for your specific problem.
- Results produced by quantum hardware will be noise-free, reproducible between runs, or free of calibration drift.
- The Service will be uninterrupted, error-free, or secure against all possible threats.
- Third-party backends will remain available, compatible, or perform to any particular specification.
Quantum computing is an experimental and rapidly evolving field. You acknowledge that you are using the Service with full awareness of its current technical limitations.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROJECT LYRA, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PROJECT LYRA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO PROJECT LYRA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, liability shall be limited to the maximum extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Project Lyra, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your access to or use of the Service.
- Your Customer Data, including any claim that it infringes or misappropriates the rights of any third party.
- Your violation of these Terms, applicable law, or the rights of any third party.
- Any algorithms or content you publish to the AaaS marketplace.
- Your failure to comply with export control, sanctions, or data localization obligations.
Project Lyra reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
16. Changes to Terms
We may revise these Terms from time to time to reflect changes in the Service, our business practices, or applicable law. If we make material changes, we will notify you by email to the address associated with your account and/or by posting a prominent notice within the Service at least thirty (30) days before the changes take effect. Non-material changes may take effect immediately upon posting.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your subscription.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, in the English language, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. You and Project Lyra agree that any dispute will be brought solely in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality rights.
